1. Acceptance of Terms

By accessing and using Graphyos.com (the “Site”) and engaging our services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Site or services.

2. Services Offered

Graphyos is a digital design and marketing agency offering a range of services, including but not limited to:

• Branding and graphic design
• Website design and development
• Search engine optimization (SEO)
• Content marketing
• Social media management
• Digital advertising

3. Project Quotations and Agreements

• Pricing Basis: Charges are calculated on a per-project, per-post, or per-word basis, as applicable, and will be detailed in the project quotation.
• Quotation Validity: Prices are subject to change based on project scope, revisions requested, and market conditions.
• Acceptance: A quotation is considered accepted upon written confirmation (e.g., email) or formal contract signing.
• Payment Terms: Payment schedules will be outlined in each quotation, typically including an upfront deposit and milestone-based payments.
• Specific Quotation: Each quotation is valid only for the specific client and project for which it is created.

4. Payment Terms

• Payment Schedule:
  • 40% deposit upon approval of design concepts.
  • 30% upon presentation of the website on our development server.
  • 30% upon final website upload to the client’s hosting environment.
• Late Payment: Late payments may incur a fee of 1.5% per month on the outstanding balance.
• Updation and Alteration: After a creative is approved, any changes or alterations will result in 25% extra cost of the actual project cost.

5. Delivery Timeframes

• Standard Delivery: Minimum delivery time is typically 2 days for standard tasks (e.g., graphic design, content creation) and extendable to 5 days during periods of high workload.
• Complex Projects: Video, PPT, and website projects may require 4-6 days or longer.
• Urgent Requests: Urgent requests may be accommodated for an additional fee of ₹200/per requirement, subject to workload and resource availability.

6. Revisions and Changes

• Included Revisions: Two revisions are included free of charge for most projects.
• Additional Revisions:
  • ₹100 per graphic change
  • ₹300 per blog or content change
  • Fees may vary based on the complexity and nature of the change.

7. Client Responsibilities

• Provision of Materials: Clients are responsible for providing all necessary logos, videos, photos, and content required for project completion in a timely manner.
• Feedback and Approval: Clients are expected to provide timely feedback and approvals at designated project milestones.

8. Intellectual Property

• Graphyos Ownership: Graphyos retains ownership of all original creative works and concepts.
• Client Usage: Upon full payment, the client receives a license to use the final deliverables for their intended purpose, as outlined in the project agreement.
• Open Files: Open/source files are delivered only after the full payment.

9. Confidentiality

Both parties agree to keep confidential all sensitive business or project-related information and not disclose it to third parties without prior written consent.

10. Disclaimer Regarding Image Usage

For data safety and accurate representation, Graphyos does not recommend the use of Ghibli or AI-converted images for depicting real people.

11. Limitation of Liability

Graphyos will not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the amount paid by the client for the specific project in question.

12. Indemnification

The client agrees to indemnify and hold Graphyos harmless from any claims, damages, or liabilities arising from the client’s use of the deliverables or any breach of these Terms.

13. Termination

Either party may terminate a project agreement with written notice if the other party breaches these Terms. Upon termination, the client is responsible for payment for all work completed up to the termination date.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Delhi.

15. Amendments

Graphyos reserves the right to modify these Terms at any time. Updated terms will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.

16. Force Majeure

Neither party shall be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout, or interruption or failure of electricity or telephone service.
